Bayer $38M ADR Securities Class Action Settlement

If you purchased or otherwise acquired Bayer American Depositary Receipts (ADRs) between May 23 2016 and July 6 2020, you could receive a cash payment from a $38 million securities class action settlement. Submit your claim by October 16 2025 to be considered for compensation.

Who is eligible?

  • All persons or entities that bought or otherwise acquired publicly traded Bayer ADRs from May 23 2016 – July 6 2020.
  • Includes purchases through brokerage accounts, custodial accounts, or by depositing/redeeming Bayer ordinary shares via The Bank of New York Mellon.
  • Anyone who previously opted out of the litigation but now wishes to participate must submit an opt-in request to the settlement administrator by October 9 2025.

Potential payout

Payments will be calculated under a court-approved Plan of Allocation that considers:

  • Date(s) you bought and/or sold Bayer ADRs
  • The amount of “artificial inflation” in the share price on those dates (see Table A of the long-form notice)

The average recovery is estimated at roughly $0.15 per affected share after fees and expenses, but your payment will depend on your individual transactions and the total number of valid claims.

Background of the lawsuit

Investors alleged that Bayer Aktiengesellschaft and certain executives violated federal securities laws by making false and misleading statements about:

  • The company’s due-diligence process for acquiring Monsanto
  • The litigation risk associated with Monsanto’s Roundup herbicide

According to plaintiffs, these statements artificially inflated the price of Bayer ADRs. When the alleged truth came to light through subsequent legal and financial events, Bayer’s share price fell, causing investor losses. Bayer denies wrongdoing but agreed to a $38 million settlement to avoid continued litigation risk and expense.

Is proof of purchase required?

Yes. You must submit brokerage statements, trade confirmations, or another authorized record showing each relevant Bayer ADR transaction.

How will I receive my payment?

Approved claimants will receive a paper check mailed to the address on the claim form.

When will payments be sent?

Checks are issued after the court grants final approval, all appeals (if any) are resolved, and claims are processed. This can take several months after the Oct 30 2025 fairness hearing.

What fees will be deducted?

The court may approve attorneys’ fees of up to $10.26 million and expenses up to $3.55 million, plus notice and administration costs. These amounts come out of the $38 million fund before payments to class members.
